End User License Agreement

UnderPresser VST3 Plugin — LPS Records

By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not install or use the Software.

1. Grant of License

LPS Records grants you a personal, non-exclusive, and non-transferable license to use UnderPresser according to the following terms:

  • Installation — You may install and use the Software on multiple computers (e.g., a studio desktop and a touring laptop), provided that you are the sole user of these machines and the Software is not being used concurrently on multiple machines.
  • Commercial Use — You may use the Software to create original audio works, music, sound design, and audio post-production for both personal and commercial projects. You do not owe any royalties to LPS Records for the music or audio you create using this Software.

2. Restrictions

You may not:

  • Copy or Distribute — Copy, share, distribute, sub-license, rent, lease, or lend the Software or your license key to any third party.
  • Reverse Engineer — Decompile, reverse engineer, disassemble, or otherwise attempt to derive the source code of the Software.
  • Modify — Modify, adapt, translate, or create derivative works based on the Software.
  • Bypass Security — Attempt to bypass, disable, or defeat any copy protection or digital rights management mechanisms within the Software.

3. Intellectual Property Rights

The Software is licensed, not sold. All rights, title, and interest in and to the Software, including but not limited to any copyrights, trademarks, and trade secrets, are owned by LPS Records. Your license confers no title or ownership in the Software and should not be construed as a sale of any right in the Software.

4. Disclaimer of Warranties

The Software is provided "AS IS," without warranty of any kind. LPS Records expressly disclaims all warranties, whether express, implied, or statutory, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. LPS Records does not warrant that the operation of the Software will be uninterrupted or error-free, or that it will be compatible with all Digital Audio Workstations (DAWs) or hardware configurations.

5. Limitation of Liability

In no event shall LPS Records be liable for any special, incidental, indirect, or consequential damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, data loss, or any other pecuniary loss) arising out of the use of or inability to use the Software, even if LPS Records has been advised of the possibility of such damages. In any case, LPS Records' entire liability under any provision of this EULA shall be limited to the amount actually paid by you for the Software.

6. Termination

This EULA is effective until terminated. Your rights under this EULA will terminate automatically without notice from LPS Records if you fail to comply with any term(s) of this EULA. Upon termination of the license, you shall cease all use of the Software and destroy all copies, full or partial, of the Software.

7. Governing Law

This EULA shall be governed by and construed in accordance with the laws of Indiana, USA, without regard to its conflict of law principles.
